1. Agreement
These terms govern services provided by LeadMasterAgency (“we”, “us”). A specific proposal, statement of work or written message agreeing scope and price takes precedence over anything here where the two differ.
2. Scope and pricing
Every engagement is scoped and priced before work begins. Unless agreed otherwise, prices are quoted in [CURRENCY] and exclude applicable taxes and third-party costs such as advertising spend, software subscriptions and stock assets.
3. Client responsibilities
- Providing materials, access, feedback and approvals within agreed timeframes.
- Ensuring everything you supply — trademarks, images, claims, product information — is accurate and lawfully yours to use.
- Responsible use of any advertising account, and compliance with the policies of the platforms you advertise on.
4. Advertising and results
Digital advertising performance depends on factors outside our control, including platform algorithms, market conditions, pricing, seasonality and your own website, offer and operations. We do not guarantee specific results, return on ad spend, lead volumes or revenue.
Advertising spend is paid by you directly to the relevant platform. We do not mark up ad spend.
5. Intellectual property
On full payment, you own the final deliverables produced for your project and may use them without restriction. We retain ownership of our underlying processes, templates, frameworks and any pre-existing materials, and may show completed work in our portfolio unless you ask us in writing not to.
6. Payment
Project work is payable as set out in the agreed scope — typically a portion upfront with the balance on delivery. Retainers are billed in advance for each period. Invoices are due within [X] days. We may pause work on overdue accounts.
7. Revisions and cancellation
Each engagement includes the revision rounds stated in its scope. Additional rounds are quoted separately. Retainers may be cancelled with [X] days' written notice before the next billing period. Work already completed is not refundable.
8. Confidentiality
We keep your business information, data and credentials confidential and use them only to deliver the agreed services.
9. Limitation of liability
To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us for the service giving rise to the claim. We are not liable for indirect or consequential losses, including lost profits or lost data.
10. Governing law
These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction.
